1. Acceptance of Terms

By accessing or using our website (the “Service”) set forth by Paradigm US Operation Inc (the “Company”), you agree to comply with this User Policy (“Terms”). If you do not agree, you may not use the Service.

Our Service provides AI tutoring and instructions for test preparation. Users can interact with our AI models, upload their own test materials, and receive study guidance. Initially available through our website, the Service may later include mobile applications. We may modify, suspend, or discontinue all or part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service, except as required by law.

3. User Accounts

  • Eligibility

    • You must be at least 13 years old to create an account or use the Service. The Service is not directed to, and we do not knowingly allow, children under 13. If you are at least 13 but under the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of a parent or guardian who agrees to these Terms on your behalf and is responsible for your use of the Service.

    • You can register using an enabled third-party provider (such as Google or Apple), or by providing your name, email, and password.
  • Account Security

    • You are responsible for maintaining the confidentiality of your login credentials.

    • Users may upload their own tests or test-related materials.
  • Prohibited Content

    • Uploaded content must not include spam, harassment, hate speech, or any illegal or malicious materials.
    • You must not upload content intended to harm the Service or other users.
  • License to Your Content

    • You retain ownership of the test materials and other content you upload. You grant the Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, create derivative works from, and process your uploaded content in order to operate, provide, and improve the Service, including to generate and reproduce responses and content for you and for other users of the Service, all in accordance with our Privacy Policy. You represent that you have the rights necessary to upload your content and to grant this license.

5. Acceptable Use and Prohibited Activities

Our service is for educational purposes only. Any commercial use requires written confirmation from us.

You agree not to:

  • Abuse, harass, or harm our AI service or other users.
  • Engage in illegal activities or distribute malicious content through the Service.
  • Attempt to disrupt the functionality or security of the Service.

6. Intellectual Property

  • All trademarks, logos, service marks, and content (excluding user-provided test materials) remain the property of the Company or our licensors.

  • You may not use any of our intellectual property without prior written permission.

  • Copyright Complaints

    • If you believe content on the Service infringes your copyright, please notify us with enough detail to identify the material and how to contact you, and we will investigate and remove infringing material where appropriate. We may suspend or terminate the accounts of users who repeatedly infringe the rights of others.

7. Limitation of Liability and Disclaimers

  • AI-Generated Content

    • The Service’s AI-generated content may contain inaccuracies or “hallucinations.”
    • We provide this content for educational and informational purposes only.
    • We are not legally responsible for any decisions made based on AI-generated information.
  • No Warranty

    • The Service is provided “as is” and without warranties of any kind.
  • Limitation of Liability

    • To the maximum extent permitted by law, the Company and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, use, or goodwill, arising out of or relating to your use of the Service. To the maximum extent permitted by law, the Company's total liability for all claims relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim or fifty U.S. dollars ($50). Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

8. Suspension and Termination

  • We reserve the right to suspend or terminate your account if you violate these Terms or attack our AI.
  • Upon termination, personal data may be deleted according to our Privacy Policy.
  • Non-personal data may be retained for AI training.

9. Changes to the Terms

  • We may update these Terms from time to time.
  • We will notify you of changes via email or on-site notifications.
  • Continuing to use the Service after updates indicates acceptance of the revised Terms.

10. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
  • Any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration on an individual basis, administered by a recognized arbitration provider under its applicable rules, rather than in court, except that either party may bring an individual claim in small-claims court where eligible.
  • You and the Company agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
  • To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.
  • Nothing in these Terms limits any non-waivable rights you may have under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your content, your use of the Service, your violation of these Terms, or your violation of any rights of another party. If you are a parent or guardian accepting these Terms on behalf of a minor, you accept this obligation on the minor's behalf. We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.

12. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements on the subject. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent, and we may assign them in connection with a merger, acquisition, or sale of assets. We will not be liable for any failure or delay in performance caused by events beyond our reasonable control.
